Phase 1: Investment Strategy Workshop
We typically start all engagements with our Performance Review and Investment Strategy Workshop. This is usually a two day engagement that ensures your business is in the right place to succeed in the capital raise.
Phase 2: Business Readiness (Optional)
In many cases there are outputs from the Investment Strategy Workshop that highlight gaps that need to be resolved prior to a successful capital raise. This may include items such as governance structure, key team members, market sizing, current product state, brand etc.
If we believe there are significant impediments to a successful capital raise we will recommend this optional phase to address the concerns. This may be working with a member of the GoCap team or we can recommend other professionals in our network, relevant to the business readiness item being addressed.
Phase 3: Information Memorandum (IM)
The key to a successful capital raise is packaging the information in an engaging and compelling way. We do this during the development of the IM that includes (but is not limited to):
- Our own due diligence process;
- Collection of comprehensive data relating to the business including financials, owners and team, clients, patents and defensibility strategy etc;
- Establish key selling features, non-negotiable and negotiable items;
- Identify possible investors from both your network and our investor network;
- Design selling process (e.g. closing dates, competitive structure etc);
- Development of the selling terms;
- Preparation and sign-off of the IM document ready to go to market.
Phase 4: Go To Market
During this phase we will approach identified investors. This will include:
- Finding interested parties through our investor network and other relevant channels;
- Collecting confidentiality agreements where appropriate and distributing the IM;
- Managing relevant communication and presentations between you and the potential investor/s;
- Manage the submission of expressions of interest, terms sheets and offers.
Phase 5: Negotiation
During this phase we will manage the submission of offers from potential investors. This will include:
- Manage the due diligence process with investors and act as an intermediary for all issues raised;
- Aim to have a binding term sheet that acts for the basis of the subscription agreement; and other relevant contracts to be drawn up by assigned lawyers;
- Identification of relevant advisors to complete the transaction.
Phase 6: Completed Transaction
During this phase we will facilitate the completion of the transaction that will include:
- Facilitate final negotiations and liaise with relevant parties and other providers on contract creation;
- Definition of warranties and restraints;
- Clarity on structures;
- Communicating work in progress and final debtor and creditor positions;
- Settlement and final hand over.
